Corporate governance

With the German Corporate Governance Code (DCGK), the rules applicable in Germany to company management and monitoring are to be made transparent for national and international investors, in order to strengthen confidence in the management of German companies.

Corporate Governance stands for responsible management practice with coeval monitoring of the company. This includes efficient collaboration between the Executive Board and the Supervisory Board, transparency in corporate communications and protection of the shareholders' interests.

The Executive Board and the Supervisory Board of a company listed on the German stock exchange are legally obliged to report annually whether the German Corporate Governance Code in the respective version has been, and is being complied with. Companies are furthermore obliged to publish which recommendations of the Code have not or are not applied.

The Executive Board and the Supervisory Board of MOLOGEN AG satisfy the majority of the Code's recommendations. Once a year, they publish a declaration of compliance with the recommendations of the German Corporate Governance Code Government Commission in accordance with Section 161 of the German Stock Corporation Act (AktG).
